On February 12 staff provided the following information: • 3500 Regent has not been the subject of any police calls. • Hennepin County will give the city more time to decide whether to amend the special assessment. The Council would have until February 29 to take action. At the February 16 work session, there was additional discussion and the Council had additional questions. The answers are as follows: • Harriet Fogarty will attend the February 23 work session at 6:30. The property owner Patricia Champagne may also be present, but that is not certain. • Harriet Fogarty has secured Power of Attorney to manage Ms. Champagne's finances and will bring the document to the work session so staff can make a copy. • Section 5 of the repurchase contract (attached) states, "Purchaser shall pay, before penalty accrues, all real estate taxes and installments of special assessments assessed against the Property which are due and payable hereafter." The default provisions are in Sections 16 and 17 and appear to be governed by statute. Staff will look into the various statutory references found in those sections and report back to the Council on February 23. Council discussion is requested. Staff intends to place a resolution on the consent agenda for the February 29 meeting unless otherwise directed. Allow approximately six weeks after final payment for deed delivery. 2. TITLE. Title to the Property is subject to the following: a. Covenants, conditions, restrictions, declarations and easements of record, if any; b. Reservations of minerals or mineral rights by the State of Minnesota, if any; C. Building, zoning and subdivision laws and regulations; d. Facts that would be shown by a survey of the property; C. The lien of real estate taxes and installments of special assessments which are payable by Purchaser pursuant to paragraph 5 of this Contract; f. Rights of tenants in possession under any existing valid lease made in behalf of the State of Minnesota, including, but not limited to, security deposits, if any. Purchaser shall assume the obligations, if any, as to security deposits. Seller shall notify tenants of the transfer of all security deposits in its possession to Purchaser; lease or easement made in behalf of the State of Minnesota; and g. All of the provisions of Minnesota Statutes Sections 282.241 to 282.36 and of any other applicable laws, and all pertinent provisions thereof, which are made a part hereof as though set out in full herein. It. Any existing valid easement made in behalf of the State of Minnesota. 3. PURCHASE PRICE. The total price for repurchase of the Property is $ 34.432.00_ being the aggregate of all delinquent taxes and assessments as computed in accordance with the provision of Minnesota Statutes, Section 282.251 as amended, with penalties, costs and with interest at the rate fixed by law for the respective years. The unpaid balance of the repurchase price is $28,806.96. The unpaid balance of the repurchase price shall be paid by the Purchaser to the County Treasurer of Hennepin County, in nine equal annual installments of principal plus interest at the rate as provided in Section 282.261 on the balance remaining unpaid each year which is to be added to and paid with each annual installment of principal, the first installment of principal and interest to become due and payable on December 31 of the year following the year in which the repurchase was made, the remaining installments to become due and payable on December 31 of each year thereafter until fully paid. 4. PREPAYMENT. Unless otherwise provided in this Contract, Purchaser shall have the right to fully or partially prepay this Contract at any time without penalty. Any partial prepayment shall be applied first to payment of amounts then due under this Contract, including unpaid accrued interest, and the balance shall be applied to the principal installments to be paid in the inverse order of their maturity. Partial prepayment shall not postpone the due date of the installments to be paid pursuant to this Contract or change the amount of such installments. Purchaser shall pay, before penalty accrues, all rea estate taxes and installments of special assessments assessed against the Property which are due and payable hereafter. Any and all special assessments heretofore canceled because of forfeiture of the Property for nonpayment of taxes are reinstated, and any such special assessments so reinstated which are payable in the future shall be paid at the time and in the manner said special assessments would have been payable except for forfeiture. 6. PROPERTY INSURANCE. a. INSURED RISKS AND AMOUNT. Purchaser shall keep all buildings, improvements and fixtures now or later located on or a part of the Property insured against loss by fire, extended coverage perils, vandalism, malicious mischief and, if applicable, steam boiler explosion for at least the amount of full replacement cost. If any of the buildings, improvements or fixtures are located in a federally designated flood prone area, and if flood insurance is available for that area, Purchaser shall procure and maintain flood insurance in amounts reasonably satisfactory to Seller. b. OTHER TERMS. The insurance policy shall contain a loss payable clause in favor of Seller which provides that Seller's right to recover under the insurance shall not be impaired by any acts or omissions of Purchaser or Seller, and that Seller shall otherwise be afforded all rights and privileges customarily provided a mortgagee under the so-called standard mortgage clause. C. NOTICE OF DAMAGE. In the event of damage to the Property by fire or other casualty, Purchaser shall promptly give notice of such damage to Seller and the insurance company. 7. DAMAGE TO THE PROPERTY. a. APPLICATION OF INSURANCE PROCEEDS. If the Property is damaged by fire or other casualty, the insurance proceeds paid on account of such damage shall be applied to payment of the amounts payable by Purchaser under this Contract, even if such amounts are not then due to be paid, unless Purchaser makes a permitted election described in the next paragraph. Such amounts shall be first applied to unpaid accrued interest and next to the installments to be paid as provided in this Contract in the inverse order of their maturity. Such payment shall not postpone the due date of the installments to be paid pursuant to this Contract or change the amount of such installments. The balance of insurance proceeds, if any, shall be the property of Purchaser. b. PURCHASER'S ELECTION TO REBUILD. If Purchaser is not in default under this Contract, or after curing any such default, and if the mortgagees in any prior mortgages and sellers in any prior contracts for deed do not require otherwise, Purchaser may elect to have that portion of such insurance proceeds necessary to repair, replace or restore the damaged Property (the repair work) deposited in escrow with a bank or title insurance company qualified to do business in the State of Minnesota, or such other party as may be mutually agreeable to Seller and Purchaser. The election may only be made by written notice to Seller within sixty days after the damage occurs. Also, the election will only be permitted if the plans and specifications and contracts for the repair work are approved by Seller, which approval Seller shall not unreasonably withhold or delay. If such a permitted election is made by Purchaser, Seller and Purchaser shall jointly deposit, when paid, such insurance M:/M/TP MPUPCX E 6 REINSTATEMENTS -3- G \D0CSTUBL\MVP133545 I.CNT proceeds into such escrow. If such insurance proceeds are insufficient for the repair work, Purchaser shall, before the commencement of the repair work, deposit into such escrow sufficient additional money to insure the full payment for the repair work. Even if the insurance proceeds are unavailable or are insufficient to pay the cost of the repair work, Purchaser shall at all times be responsible to pay the full cost of the repair work. All escrowed funds shall be disbursed by the escrowee in accordance with generally accepted sound construction disbursement procedures. The costs incurred or to be incurred on account of such escrow shall be deposited by Purchaser into such escrow before the commencement of the repair work. Purchaser shall complete the repair work as soon as reasonably possible and in a good and workmanlike manner, and in any event the repair work shall be completed by Purchaser within one year after the damage occurs. If, following the completion of and payment for the repair work, there remain any undisbursed escrow funds, such funds shall be applied to payment of the amounts payable by Purchaser under this Contract in accordance with paragraph 7(a) above. 8. INJURY OR DAMAGE OCCURRING ON THE PROPERTY. a. LIABILITY. Seller shall be free from liability and claims for damages by reason of injuries occurring on or after the date of this Contract to any person or persons or property while on or about the Property. Purchaser shall defend and indemnify Seller from all liability, loss, costs and obligations, including reasonable attorneys' fees, on - account of or arising out of any such injuries. However, Purchaser shall have no liability or obligation to Seller for such injuries which are caused by the negligence or intentional wrongful acts or omissions of Seller. b. LIABILITY INSURANCE. Purchaser shall, at Purchaser's own expense, procure and maintain liability insurance against claims for bodily injury, death and property damage occurring on or about the Property in amounts reasonably satisfactory to Seller and naming Seller as an additional insured. 9. INSURANCE, GENERALLY. The insurance which Purchaser is required to procure and maintain pursuant to paragraphs 6 and 8 of this Contract shall be issued by an insurance company or companies licensed to do business in the State of Minnesota and acceptable to Seller. The insurance shall be maintained by Purchaser at all times while any amount remains unpaid under this Contract. The insurance policies shall provide for not less than ten days written notice to Seller before cancellation, non -renewal, termination or change in coverage, and Purchaser shall deliver to Seller a duplicate original or certificate of such insurance policy or policies. 10. CONDEMNATION. If all or any part of the Property is taken in condemnation proceedings instituted under power of eminent domain or is conveyed in lieu thereof under threat of condemnation, the money paid pursuant to such condemnation or conveyance in lieu thereof shall be applied to payment of the amounts payable by Purchaser under this Contract, even if such amounts are not then due to be paid. Such amounts shall be applied first to unpaid accrued interest and next to the installments to be paid as provided in this Contract in the inverse order of their maturity. Such payment shall not postpone the due date of the installments to be paid pursuant to this Contract or change the amount of such installments. Purchaser shall not remove or demolish any buildings, improvements or fixtures now or later located on or a part of the Property, nor shall Purchaser commit or allow waste of the Property. Purchaser shall maintain the Property in good condition and repair. Purchaser shall not create or permit to accrue liens or adverse claims against the Property which constitute a lien or claim against Seller's interest in the Property. Purchaser shall pay to Seller all amounts, costs and expenses, including reasonable attorneys' fees, incurred by Seller to remove any such liens or adverse claims. 12. CODE COMPLIANCE. If at the time of this Contract there is a substandard structure on the Property, the Purchaser, as a condition of this repurchase, shall present and file a certificate of code compliance with the County Auditor of said county within one year after the date of this Contract. 13. NOTICE OF ASSIGNMENT. If either Seller or Purchaser assigns their interest in the Property, a copy of such assignment shall promptly be furnished to the non -assigning party. 14. PROTECTION OF INTERESTS. If Purchaser fails to pay any sum of money required under the terms of this Contract or fails to perform any of Purchaser's obligations as set forth in this Contract, Seller may, at Seller's option, pay the same or cause the same to be performed, or both, and the amounts so paid by Seller and the cost of such performance shall be payable at once, with interest at the rate stated in paragraph 3 of this Contract, as an additional amount due Seller under this Contract. 15. PROHIBITED REMOVALS. No structure, minerals, sand, gravel, topsoil, or peat shall be removed nor shall any timber or timber products be cut and removed from the Property until the purchase price has been paid in full; provided, however, that this shall not be construed as prohibiting the removal of such sand, gravel, topsoil, subsoil, or peat as may be incidental to the erection of structures on the Property or to the grading of the Property whenever such removal or grading shall result in enhancing the value thereof. 16. ACCELERATION UPON DEFAULT. Upon breach by Purchaser of any covenant or agreem o{this Contract, including the covenants to pay when due any sums secured by this Contract, Seller, at its option, may declare all of the unpaid principal and interest to be immediately due and payable without further demand. However, in the event that notice of cancellation of this Contract is served according to the statutes, Seller shall have the right to demand payment only of the amounts in default plus other amounts required to be paid by State statutes, and the curing of all other defaults. DEFAULT. The time of performance by Purchaser of the terms of this Contract is an essential part o is ontract. Should Purchaser fail to timely perform any of the terms of this Contract, or fail to pay any of the deferred installments with interest, or the current taxes, or to comply with any conditions that may have been stipulated in the notice of sale at which the Property was offered for sale or in this Contract, Seller may, at Seller's option, exercise any remedy including strict foreclosure or specific performance, or elect to declare this Contract canceled and terminated by notice to Purchaser pursuant to Minnesota Statutes, Sections 282.01, Subd. 5; 282.40; and 559.21; in accordance with applicable law. All right, title and interest acquired under this Contract by Purchaser shall then cease and terminate, and all improvements made upon the Property and all payments made by Purchaser pursuant to this Contract shall belong to Seller as liquidated damages for breach of this Contract. Neither the extension of the time for payment of any sum of money to be paid hereunder nor any waiver by Seller of Seller's rights to declare this Contract forfeited by reason of any breach shall in any manner affect Seller's right to cancel this Contract because of defaults subsequently occurring, and no extension of time shall be valid unless agreed to in writing. After service of notice of default and failure to cure such default within the period allowed by law, Purchaser shall, upon demand, surrender possession of the Property to Seller, but Purchaser shall be entitled to possession of the Property until the expiration of such period. 18. BINDING EFFECT. The terms of this Contract shall run with the land and bind the parties hereto and their successors in interest. If the Property is subject to a recorded declaration providing for assessments to be levied against the Property by any owners' association, which assessments may become a lien against the Property if not paid, then: a. Purchaser shall promptly pay, when due, all assessments imposed by the owners' association or other governing body as required by the provisions of the declaration or other related documents; and b. So long as the owners' association maintains a master or blanket policy of insurance against fire, extended coverage perils and such other hazards and in such amounts as are required by this Contract, then; Purchaser's obligation in this Contract to maintain hazard insurance coverage on the Property is satisfied; and ii. The provisions in paragraph 6 of this Contract regarding application of insurance proceeds shall be superseded by the provisions of the declaration or other related documents; and iii. In the event of a distribution of insurance proceeds in lieu of restoration or repair following an insured casualty loss to the Property, any such proceeds payable to Purchaser are hereby assigned and shal be paid to Seller for application to the sum secured by this Contract, with the excess, if any, paid to Purchaser. 20. HAZARDOUS MATERIALS. Purchaser covenants, represents and warrants to Seller, (i) that the Property has not been used and it will not use or permit the Property to be used, whether directly or through contractors, agents or tenants, and the Property will not at any time be used for the generating, transporting, treating, storage, manufacture, emission of, or disposal of any dangerous, toxic or hazardous pollutants, chemicals, wastes, polychlorinated biphenyls, asbestos, formaldehyde, petroleum, including crude oil or any fraction thereof, natural gas, natural gas liquids, liquefied natural gas, synthetic gas usable for fuel or mixtures thereof or substances as defined in the Comprehensive Environmental Response Compensation and Liability Act of 1980, as amended, 42 U.S.C. 9601, et seq., or the Resource Conservation and Recovery Act of 1976, as amended, 42 U.S.C. 6901, et seq., or the Hazardous Materials Transportation Act, as amended, 49 U.S.C. 1801, et seq., or the Minnesota Environmental Response and Liability Act, as amended, Minn. Stat. Ch. 115B, or any other federal, state or local environmental laws, statutes, regulations, requirements and ordinances ("Hazardous Materials"); (ii) that there have been no investigations or reports involving Purchaser or the Property by any governmental authority which in any way pertain to Hazardous Materials; (iii) that the operation of the Property by Purchaser has not and will not violate any federal, state or local law, regulation, ordinance or requirement governing Hazardous Materials; and (iv) that any additional improvements will not contain any formaldehyde, urea or asbestos. The Purchaser agrees to indemnify and reimburse the Seller, its successors and assigns, for any breach of these representations and warranties and from any loss, damage, expense or cost arising out of or incurred by Seller which is the result of a breach of, misstatement of or misrepresentation of the above covenants, representations and warranties, together with all attorneys' fees incurred in connection with the defense of any action against the Seller arising out of the above. These covenants, representations and warranties shall be deemed continuing covenants, representations and warranties for the benefit of the Seller, and any successors and assigns of the Seller, including any transferee of the title of the Seller and any subsequent owner of the Property and shall survive any cancellation of this Contract and any acquisition of Purchaser's equitable title by Seller or any successors and assigns of Seller. The amount of all such indemnified loss, damage, expense or cost, shall bear interest thereon at the rate of interest in effect on this Contract, shall be added to the unpaid principal balance due under this Contract, and shall be immediately due and payable in full N:/AVTFWMPURC E 6 N INSTATE TS G:\ DOCSTUBLUVA33545 I.CNT on demand of the Seller or the successors and assigns of Seller. 21. ADDITIONAL CONDITIONS. All of the Property is sold "AS IS" and may not conform to local building and zoning ordinances. The Seller makes no warranty that the land is buildable, or conforms to Purchaser's intended use. 22. HEADINGS. Seller does not claim title to any personal property located on the Property. Purchaser hereby acknowledges that only the Property is part of this agreement and no personal property is included herein as part of the purchase price. 24. RIGHT OF ENTRY. Seller and Seller's Agents reserve the right to enter the premises at all reasonable hours during the term of this agreement for the purpose of inspecting the premises and all building improvements thereon. 25. On December 9, 2015 the Metropolitan Council approved the preliminary design plans for review and consideration by the five municipalities along the route. This is known as the Municipal Consent process in state law (M.S. 473.3994). Metro Transit, an agency of Metropolitan Council, is asking the city to review and approve the preliminary design plans so they can proceed with more detailed design work and complete the environmental review process knowing that the city accepts the basic layout and design of the project. The deadline for city action is March 4. Under the statute, the Municipal Consent process would conclude with one of the following outcomes: City Council adopts a resolution of approval. The resolution may include clauses describing elements that it believes need to be added to the project, but the city's approval of the preliminary design plans cannot be contingent on those elements. • City Council adopts a resolution of disapproval. The resolution must specifically describe the items that must be included in the project to gain approval. Metropolitan Council would hold a hearing and within 60 days decide whether to include those items in the preliminary design plans. • City Council takes no action. If the Council does not take action then the preliminary design plans are deemed approved. WHAT IS IN THE PRELIMINARY DESIGN PLANS: The basic design of the project including the location of tracks, station, roadway and sidewalk modifications, etc. This has been described as a "15%" level of design detail. PAGE 1 OF 2 WHAT IS NOT IN THE PRELIMINARY DESIGN PLANS: • Items that will become known as the engineering work progresses into greater detail. A pedestrian bridge over Bottineau Boulevard at Bass Lake Road. The City Council has reached consensus that a pedestrian bridge needs to be part of the project. On February 11 the Corridor Management Committee endorsed the eventual inclusion of a bridge in the project scope. However, Metropolitan Council would not consider adding it to the project scope and budget until summer 2016 after the Final Environmental Impact Statement is complete and they are ready to approve the next level of design detail (the "30%" plans). • A noise wall along the east side of the railroad corridor from 47th to Corvallis. This would likely be a required environmental mitigation measure, but Metropolitan Council would not consider including it in the project scope and budget until summer 2016. • A wall, fence or other visual screening along the west side of the railroad corridor between Bass Lake Road and 62"d. This is something that has been requested by petition and may be added to the project as either a required environmental mitigation measure or as otherwise determined by Metro Transit to be necessary to protect adjacent homes. Either way, Metropolitan Council would not consider including it in the project scope and budget until summer 2016. As required by M.S. 473.3994, Metropolitan Council submitted the preliminary plans for the physical design component of the Project ("the Plans") to the City of Crystal on December 15, 2015, and the City must review and either approve or disapprove the Plans no later than March 4, 2016 ("Municipal Consent"). Municipal Consent is limited to the physical design component of the proposed light rail transit facility and does not include the City Council's opinion of whether such a facility is in the best interest of the metropolitan region and the transportation system as a whole. If the City adopts a resolution of approval, the approval may not be conditional, but the resolution may include language describing elements or changes to the Plans which the City finds to be necessary for the success of the project and which may be included by Metropolitan Council in the project scope and budget at a later date. If the City adopts a resolution of disapproval, the resolution must describe the specific changes to the Plans that would cause the City to withdraw its disapproval, and Metropolitan Council would then hold a hearing and decide whether to make those changes to the Project. If the City does not adopt a resolution of approval or disapproval then the Plans are deemed approved. The City Council has provided multiple opportunities for public review and comment on the Project and Plans culminating in the required public hearing on February 16, 2016. The City Council has considered said public input regarding the Project and Plans prior to taking action on this Resolution. Page 1 of 3 BE IT RESOLVED CLAUSE That the City of Crystal provides its municipal approval of the preliminary plans for the physical design component of the METRO Blue Line Extension through the City of Crystal and directs the City Clerk to transmit this resolution to Metropolitan Council. BE IT FURTHER RESOLVED CLAUSES Consistent with the direction of the Corridor Management Committee on February 11, 2016, a pedestrian bridge over Bottineau Boulevard (CSAH 81) on the south side of Bass Lake Road (CSAH 10) needs to be added to the project scope and budget. Said pedestrian bridge is necessary for the following reasons: a) CSAH 81 is a six lane, high volume, high speed roadway that is a real barrier for pedestrian access to the proposed Bass Lake Road station. b) This barrier is especially acute for youth, seniors and people who otherwise already face enough challenges just getting around. It is these very people who have the most to gain from the high frequency transit service the Blue Line Extension would bring to Crystal. C) And for those who are able to drive, we cannot expect them to leave their,cars at home if we don't provide a safe way for them to walk to the station. d`1 With elevators on both sides, the crossing time would only be 44% longer than at grade, which is a small enough time differential that it will provide a useful alternative to crossing at grade. e) The proposed Bass Lake Road station is anticipated to primarily be a walk-up station which will dramatically increase the volume of pedestrian traffic at that intersection. Project staff has indicated that pedestrian crossings at the Bass Lake Road intersection are forecast to increase by a factor of four after the station opens. Because said pedestrian bridge is an essential component for the success of the Bass Lake Road station, the construction, ownership and maintenance of the pedestrian bridge must be the responsibility of Metro Transit not the City. The City will continue to work with Project staff to further refine the design of the pedestrian bridge, the latest iteration of which is attached as Exhibit A. To protect adjacent residences from noise impacts associated with the addition of light rail transit to the rail corridor, the Project must include a noise barrier along the east side of the rail corridor from 47th Avenue to West Broadway and from West Broadway to Corvallis Avenue. To protect adjacent residences from visual impacts due to the Project's removal of existing vegetative screening on the west side of the rail corridor north of Bass Lake Road, the Project must include visual screening and the City will facilitate such Page 2 of 3 construction, as needed, with consideration of conditional use permits and variances to allow fences in excess of 6 feet tall. To accommodate connection of the existing Becker Park trail system to the sidewalk and rail crossing being constructed as part of the Project, during construction approximately one-tenth of an acre in the northeast corner of Becker Park will be disturbed by the Project as shown in Exhibit B. A temporary construction easement will be needed and after construction the Project shall restore the disturbed area to an as good or better condition. Pursuant to federal environmental rules the Final Environmental Impact Statement must include documentation of the need for and impact of this temporary construction easement. The City Council authorizes the City Manager to provide said documentation to the Project as needed for the Final Environmental Impact Statement.
